Project Overview

The Millennium Challenge Corporation (MCC) is a U.S. government corporation established in 2004. Its mission is to provide assistance that will support sustainable and inclusive economic growth and poverty reduction in carefully selected developing countries that demonstrate a commitment to just and democratic governance, economic freedom, and investments in their citizenry.

In December 2018, MCC’s Board of Directors selected Indonesia as eligible to develop a second compact. The selection reflected the strong partnership MCC and Indonesia built during the first compact. Following signature of the Indonesia Infrastructure and Finance Compact on April 13, 2023, the entity charged with implementing the compact activities, Millennium Challenge Account-Indonesia II (MCA), is currently in the pre-implementation preparation stage, prior to “Entry-Into-Force” (EIF) of the compact agreement at which time the five-year implementation period begins.

 

The Indonesia Infrastructure and Finance Compact consists of three projects:

 

  • The Advancing Transport and Logistics Accessibility (ATLAS) Project will work with five provincial governments – South Sumatra, North Sulawesi, Riau, Riau Islands and Bali – to improve infrastructure planning and preparation at the sub-national level, where transport and logistics are more constrained. The resulting projects will improve access to employment opportunities for Indonesians and the accessibility of transport services for women and disabled passengers.

 

  • The Access to Finance for Women-owned/Micro-, Small and Medium Enterprises Project aims to increase formal lending services to MSMEs, especially those owned by women. The project will also provide business training, including digital and financial literacy trainings, and technical assistance to improve credit worthiness and investment readiness.

 

  • The Financial Markets Development (FMD) Project will provide technical assistance and blended finance grants to increase the participation of private sector or commercially oriented finance in infrastructure investments. This will help the government of Indonesia to form new partnerships and unlock existing money to fund lower-risk, high-quality infrastructure projects.

 

Position Objective

 

MCA-Indonesia II seeks an individual consultant to act as the Legal Specialist for MCA-Indonesia II. Under the supervision of the Legal and Institutional Affairs Lead (Legal Lead), the Legal Specialist will provide legal support and advice to MCA-Indonesia II to support the effective implementation of the Compact and to ensure compliance with all applicable laws, regulations, policies, and guidelines. The Legal Specialist may also oversee and coordinate the work of outside legal advisors and consultants.

 

Tasks and Responsibilities

 

–   Assist the Legal Lead in ensuring that MCA-Indonesia II activities comply with:

(i)   the obligations of MCA-Indonesia II contained in the Compact or otherwise delegated to MCA-Indonesia II by the Government,

(ii)  all supplemental agreements entered into under or in furtherance of the Compact (“Supplemental Agreements”),

(iii)  Indonesian laws and regulations, and (iv) any other applicable laws, regulations and agreements.

 

–   Advise the Legal Lead, on issues related to non-compliance with legal documentary and ethics guidelines by MCA-Indonesia II personnel (professional & consultant/contractor), and anticipate issues that may arise from non-compliance;

 

–   Provide support to the Board of Trustees (Majelis Wali Amanat/MWA) and in coordination with the Legal Lead, act as primary assistant to the Secretary of the Board of Trustees whose tasks include developing and implementing procedures for Board meetings and ensuring that Board meetings comply with the requirements of the Compact, the relevant Supplemental Agreements and the relevant governing documents, including by preparing minutes of Board meetings.

 

–   Execute a full range of legal support functions related to researching legal/statutory requirements, preparatory casework for legal proceedings, etc. and ensure that these are consistent with standards and schedules within the legal team;

 

–   Review transactional documents (e.g. procurement documents, project agreements and employment contracts) for compliance with documentary requirements, and consistency with established MCA formats;

 

–   Explain the process and guidelines for the completion of legal documents, submission/compliance with local law/regulations;

 

–   Maintain complete files of MCA-Indonesia II legal documentation, ensuring completeness, confidentiality, and accessibility for use by the legal team, and for audit purposes;

 

–   Track legal actions to ensure deadlines are met and to resolve impediments to clearance or approval.

 

–   Oversee and coordinate, as needed and authorized, the work of outside legal advisors and consultants.

 

Key Qualifications (Education, Experience, Technical Competencies)

 

Pass/Fail Qualifications

  • University degree in Law.
  • Fluency in Indonesian and excellent written and verbal communication skills in English.

 

Required Qualifications

  • Five (5) or more years of relevant professional experience as in-house legal counsel or in reputable law firms or non-profit organizations.
  • Experience drafting and reviewing legal documents, agreements, contracts, and/or other official papers, such as board related documents, etc.
  • Demonstrated ability to spot issues of sensitive legal concern and proactively propose solutions.

 

Desired Qualifications

  • Be qualified and certified in good standing to practice law in Indonesia.
  • Experience working for or with (directly or indirectly) or dealing with the Government of Indonesia and/or any bilateral/multilateral institutions, preferably US donor agencies.
  • Relevant training in compliance, fraud detection, auditing and the like.
  • Strong interpersonal skills and the ability to establish and maintain effective working relationships with people of different backgrounds.
  • Demonstrated ability to collaborate effectively with peers as well as work across departments or divisions.
  • A responsible and flexible attitude and capacity to simultaneously manage a variety of tasks, and responsibilities, and shift priorities and deadlines without supervision.
  • Demonstrated professionalism, good judgment, and flexibility to meet the needs of the position.
